Terms and Conditions

1. Scope
These General Terms and Conditions (T&C) apply to all contracts between OpenEOS (hereinafter "Provider") and the customer regarding the use of the OpenEOS Software-as-a-Service (SaaS) platform and related services.
2. Description of services
The provider offers the customer a web-based POS solution. The services include: • Access to the OpenEOS platform • Hosting and maintenance of the infrastructure • Regular updates and security patches • Support via email, phone and WhatsApp (with SaaS plans) • Data backup
3. Registration and conclusion of contract
Registration takes place by creating an organization on the platform. Upon completion of registration, a contract is concluded between the customer and the provider. The customer assures that all information provided is correct and complete.
4. Prices and tariffs
The prices displayed on the website at the time of booking apply: • SaaS: €25 per event day • Starter bonus: 20% discount on the first event days (new customers) • Hardware rental: €50 per device per day All prices include statutory value added tax.
5. Payment
Billing is based on actual usage and invoiced. Event days are aggregated at the end of the month and invoiced. Payment terms: 14 days net.
6. Customer obligations
The customer undertakes to: • Treat access data confidentially • Not use the platform abusively • Not process illegal content • Comply with applicable data protection regulations • Ensure the correctness of the data entered
7. Liability
The provider is liable without limitation for damages resulting from injury to life, body or health as well as for intentionally or grossly negligently caused damages. Otherwise, liability is limited to foreseeable, contract-typical damages. Liability for lost profits, indirect damages or data loss is excluded to the extent permitted by law.
8. Contract term and termination
The contract is concluded for an indefinite period. Both parties may terminate the contract at any time with a notice period of 14 days to the end of the month. The right to extraordinary termination for good cause remains unaffected.
9. Changes to the T&C
The provider reserves the right to change these T&C. Changes will be communicated to the customer at least 30 days before they take effect. If the customer does not object within 14 days of receipt of the notification, the changed T&C shall be deemed accepted.
10. Final provisions
The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from this contract is, to the extent permitted by law, the registered office of the provider. Should individual provisions of these T&C be invalid, the validity of the remaining provisions shall remain unaffected.
